County Wicklow Volunteer Centre (CWVC) is recruiting a volunteer to join the board and to take on the responsibilities of the Company Secretary as well as general board responsibilities.
The Board of Management meets on a monthly basis with the exception of July & August.
Main tasks include:
- In conjunction with the CWVC manager oversee the finances of the organization
- In conjunction with the CWVC manager provides an annual budget to the board for approval
- Ensures development and board review of financial policies and procedures
- In conjunction with the CWVC manager liaises with the Auditor to present the annual audit
- Provide the board and its funders with financial information when asked
- Ensure an independent auditor is appointed at the AGM
- In conjunction with the CWVC manager keeping the minutes’ book (AGM and EGM minutes and the minutes of the board of directors and any subcommittees); General meeting minutes should be open for inspection by members
- In conjunction with the manager sending in the annual return to the CRO by the annual return date applicable to your company
- In conjunction with the CWVC manager notifying the CRO within 15 days of passing special resolutions (for example, changes to the memorandum and articles of association or a change to the organisation’s name)
- Keeping copies of all annual returns and accounts
- Complying with any other duties as imposed by the Companies Acts 1963 – 2005
Skills necessary include:
- Professional qualification in accountancy
- Board experience
- Management experience
